Candidate must have spent the past several in a publicly traded company and have significant SEC experience. IPO experience and experience with FDA Compliance is a plus. The General Counsel of this corporation is an integral part of the management team, will report to the COO, and be his sounding board for business decisions as well as legal advice. Essential Duties and Responsibilities include the following: • Ensures appropriate application of all laws and regulations relating to Organogenesis’ legal activities and transactions. • Provides practical, legal and business advice to personnel with respect to antitrust issues, commercial transactions, marketing, new business opportunities, mergers and acquisitions, and SEC reporting and compliance. • Manages external attorneys involved in providing legal and regulatory advice with respect to policy interpretation, business transactions and operational matters. • Oversees litigation matters and ensures internal support as needed. • Responsible for due diligence reviews and the preparation of regulatory filings. • Assesses and mitigates legal risks of company activities, and advises management and other company personnel on legal and strategic matters. • Drafts, analyzes and reviews resolutions, regulations, procedures, contracts and related documents on behalf of the company. • Participates in contract negotiations and ensures compliance with contract terms. • Assists in establishing policies and procedures consistent with established legal principles and requirements. • Represents the Corporation as required. • Monitors and maintains current knowledge of industry trends in legal and compliance matters relating to the bio-science industries and pursues ongoing professional development to maintain current knowledge on best practices. Qualifications and Competencies: • Experience in the analysis, interpretation and application of business law within an industrial setting. • Demonstrate an ability to apply sound legal principles at corporate and operational levels. • Possess the ability to ensure the Company-wide application and integration of legal requirements. • Possess a demonstrated capacity to build relationships internally and externally and an ability to quickly establish credibility across an organization, including engaging others to ensure the most effective and efficient implementation of legal requirements. • Possess highly effective written and verbal communication skills with the ability to relate directly, openly and effectively with both internal and external constituencies. • Candidate must possess strong conceptual analytical skills and negotiation skills. • Demonstrate clear understanding of legal ethics and the ability to use good judgment and discretion, including confidentiality. Education/Experience: Requires Juris Doctor degree from an ABA accredited law school. Pharmaceutical, biotechnology or other healthcare related legal experience is desirable. Sophisticated and complex transactional experience, preferably in the pharmaceutical or other healthcare related legal field. A license to practice law in the state of Massachusetts. At least 10 years of progressive responsibility in legal assignments relating to business and industry issues. Experience with both with a law firm and as in-house counsel is preferred. At least three years of managerial experience is preferred. |
