Title:  Vice President and Senior Counsel-Legal Contracts Group


Job Summary

Responsible for establishing legal contract strategies for minimizing liability and closing customer negotiations efficiently as well as resolve the most complex and sensitive customer negotiations diplomatically. Will lead Iron Mountain’s Legal Contracts Group (LCG) which is responsible for (1) negotiation of customer contracts arising from the Iron Mountain Digital business unit (globally ~$250M) and the North American (NA) physical business unit (U.S and Canada ~$2B) and (2) non-technology vendor contracts for the enterprise’s Strategic Sourcing function. Will build upon a high performing team where LCG members are motivated, developed and well instructed, as well as drive process improvements to enhance contract support of the business units.

Essential Functions

30% Leadership and management of a large, legal team supporting multiple business units and corporate functions.

20% Develop, recommend and implement legal contract strategies to minimize IM’s liability across its customer base. Anticipate legal issues and identify solutions to minimize contract negotiations.

30% Advise LCG members on responses to customer issues and negotiate and resolve most complex and sensitive customer negotiations efficiently and diplomatically

15% Manage, enhance and streamline the customer and vendor contracting processes. Liaise with Contracts Administration, Sales, Account Management and corporate functions to ensure appropriate prioritization and coordination related to contract negotiations.

5% Create training and reference materials to assist with education of LCG members and the field (Sales and Account Management). Build strong relationships and support for such internal clients.
Requirements

KNOWLEDGE, SKILLS, AND ABILITIES

    * This job requires a Juris Doctor degree and bar admission, fifteen years or greater experience as an attorney and functional knowledge and skills in the following areas:
    * Extensive complex contract negotiation and drafting experience; deep understanding of negotiation strategies and implications of contract language nuances
    * In depth understanding of licensing, privacy and compliance related issues
    * Thorough understanding of data security issues as they relate to contract negotiations
    * Basic understanding of other functional areas including IP and litigation
    * Leadership and management expertise for a team of legal professionals
    * Relationship building, training and influencing skills to strengthen alignment with business units
    * The candidate will also be expected to become expert in all aspects of Iron Mountain operations, both physical and digital, that relate to performance of services.

Business Expertise:
This job requires an individual with proven success balancing legal positions and business needs for fifteen years with at least five years in an in-house position; must include successful management and coordination of legal staff.

Leadership:
This job has full management responsibility for a large team of attorneys and professionals (e.g. hiring, firing, performance appraisals, coaching, budgeting). In addition to effectively leading and managing LCG, this individual will work closely with other corporate functions (e.g. Risk, Security and Accounting) as well as the Sales and Account Management teams of the business units. This individual will also help lead cross-functional teams on projects such as improving our contract lifecycle management processes.

Problem Solving:
This job requires complex judgments, in depth analysis (business and legal), interpretive thinking and the ability in independently develop innovative solutions.

Nature of Impact:
Working closely with the business unit presidents and general counsel, this job is responsible for leading the strategy for negotiating favorable customer and non-technology vendor contracts for NA and Digital. This job is also responsible for assisting with the improvement of enterprise-wide contracting processes.

Area of Impact:
This job directly impacts the performance of business units (NA and Digital) representing ~$2.25B in annual revenue as well as the enterprise’s Strategic Sourcing function efforts

Interpersonal Skills:
This job requires very strong communication skills to negotiate sensitive issues diplomatically and manage issues with internal constituents. This job requires developed skills to lead and motivate a highly skilled, large team. Must also communicate and partner effectively with other corporate capabilities and senior leadership.

Physical Requirements:
May be required from time to time to access boxed documents (approximately 20 – 30 pounds)

Travel Requirements:
Total travel: Less than 20%
Local travel (Depending on District): 10% - 20% in Southborough (IM Digital Headquarters)
Overnight travel: Less than 10%
